Inc.have agreed to buy P.F Chang’s China Bistro Inc., according to a notification given to investors and published late Thursday by Bloomberg News.Private equity firm Centerbridge Partners L.P., located in New York, has controlled the Scottsdale, Ariz.-based casual-dining chain since 2012, when it acquired P.F.Chang’s and its sister fast-casual Pei Wei Asian Kitchen brand in a deal valued at around $1.1 billion.According to reports, Centerbridge will maintain control of the 200-unit Pei Wei restaurant chain, which broke off from P.F.Chang’s in 2017 and relocated its headquarters to Irving, Texas.
After retaining Bank of America’s Merrill Lynch and Barclays to handle the process in July, Centerbridge and the board of directors of P.F.Chang’s parent company Wok Parent LLC began researching the possibility of selling the company.In a report published earlier this week, Bloomberg estimated that the sale was worth around $700 million, and at least one source familiar with the transaction told Nation’s Restaurant News that funding had been secured.
In an investor notification, according to Bloomberg, it was said that more than $675 million in total debt owed by P.F.Chang will be repaid at par.A report from the Financial Times said the company’s obligations included $375 million in secured debt, which included $5 million in capital leases, a $317 million first-lien term loan, $25 million in revolver borrowings, and $28 million in secured notes given by the sponsor, among other things.PF Chang’s China Bistro generated an estimated $912.9 million in systemwide sales in the United States during the fiscal year ending December 2017, an increase from $906.2 million in the prior year, according to the most recent NRN Top 200 report published in December 2017.Following a decline from $357.2 million in the previous year, according to NRN Top 200 estimates, Pei Wei Asian Kitchen had an estimated $339.9 million in systemwide sales in the United States in 2017
